1. Acceptance of Terms

Welcome to DigiVault, operated by VTechWorks ("Company," "we," "our," or "us"). By accessing or using our mobile application and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

DigiVault is a document storage and management application that provides:

• Secure cloud storage for personal documents
• AI-powered OCR technology to detect document expiry dates
• Automated reminder notifications for upcoming document expirations
• Document sharing capabilities via email
• Offline access to cached documents
• Document organization by categories

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 13 years old to use DigiVault. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription Plans and Payments

4.1 Free Plan

The free plan includes limited document storage with core features including smart reminders, cloud storage, OCR scanning, and document sharing.

4.2 Premium Plans

Premium subscriptions are available:

• Proactive Pro (Monthly): $2.99 per month - 100 documents with 5GB storage and automatic monthly renewal
• Annual Elite: $19.99 per year - Unlimited documents with 5GB storage and automatic annual renewal
• Legacy VIP (Lifetime): $89.99 one-time payment - Unlimited documents with 10GB storage and no recurring fees

4.3 Payment Processing

All payments are processed through Google Play Store or Apple App Store. Their respective terms and conditions apply to all transactions. We do not store your payment information.

4.4 Refunds

Refunds are handled according to Google Play Store and Apple App Store policies. Generally, subscriptions are non-refundable except where required by law. Contact the respective app store for refund requests.

4.5 Cancellation

You may cancel your monthly or yearly subscription at any time through the Google Play Store or Apple App Store. Your access will continue until the end of the current billing period.

5. User Content and Data

5.1 Your Content

You retain all ownership rights to the documents and data you upload ("User Content"). By uploading content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You must not upload content that:

• Violates any laws or regulations
• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is fraudulent, deceptive, or misleading
• Violates the rights of others

5.3 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of important documents. We are not liable for any loss of data.

6. Document Sharing

DigiVault allows you to share documents with other users via email. When you share a document:

• You grant view-only access to the recipient
• You remain the sole owner of the document
• Recipients cannot upload documents to your account
• You can revoke access at any time
• Recipients must have their own subscription to upload their own documents

You are responsible for ensuring you have the right to share any documents you distribute through the Service.

7. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble the application
• Use automated scripts, bots, or scrapers to access the Service
• Interfere with or disrupt the Service or servers
• Impersonate another person or entity
• Transmit spam, viruses, or malicious code
• Collect or harvest personal information from other users
• Use the Service to store or distribute illegal content
• Resell or commercially exploit the Service without authorization

8. Intellectual Property Rights

8.1 Our Rights

The Service, including its software, design, graphics, text, and other content (excluding User Content), is owned by VTechWorks and protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes, subject to these Terms.

8.3 Trademarks

"DigiVault" and our logo are trademarks of VTechWorks. You may not use our trademarks without prior written permission.

9. AI and OCR Technology

Our AI-powered OCR technology automatically detects expiry dates from your documents. While we strive for high accuracy:

• OCR accuracy is not 100% guaranteed
• You are responsible for verifying detected dates
• We are not liable for missed expirations due to OCR errors
• You should always manually verify important dates

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 No Guarantee of Service

We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue the Service at any time without notice.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VTECHWORKS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions or data loss
• Missed document expirations or renewal dates
• Errors in OCR detection or reminder notifications

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless VTechWorks, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of another party.

12. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

13. Termination

You may terminate your account at any time by visiting our account deletion page or deleting it directly through the app settings (Profile → Delete Account). Upon termination:

• Your access to the Service will cease immediately
• Your data will be deleted within 30 days
• Paid subscriptions are non-refundable upon voluntary termination
• We may retain certain data as required by law

We reserve the right to terminate or suspend your account for violations of these Terms, with or without notice.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the app. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you disagree with the changes, you must stop using the Service and delete your account.

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to contact us at contact@vtechworks.com to attempt to resolve the dispute informally.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration rather than in court, except where prohibited by law. The arbitration will be conducted under the rules of a recognized arbitration organization.

15.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis only, and not as a class action or representative proceeding.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which VTechWorks operates, without regard to its conflict of law provisions.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VTechWorks regarding the Service and supersede all prior agreements and understandings.
